Swindon Town has confirmed that the minority shareholders have the connection rights for the transfer of shares in the club.

During the questions and answers published in January in February in January in February, a fan asked whether the minority shareholders of the club had the answer “No.” Was.

However, documents about Companies House seemed to show that both Holly Kiel and Bethany Parladorio would have the first choice when buying more shares to sell part of its 78 percent share at the club.

During the board meeting for March, the club was asked again in the section “Fan Question and Answer” whether the minority shareholders had pre-impression rights.

The answer says: “Preparation rights are defined as the following. If Clem wants to sell the club, he must give the minority shareholders the opportunity to meet the offer presented. The same applies to the minority shareholders, which protects the interests of shareholders and the club.”

This would mean that Parladorio and Kiiels would have the opportunity to buy shares if Morfuni had decided to sell and vice versa.

In September 2022, Clem Morfuni sold shares at the parent company of Swindon Town, Swinton Reds 20 Ltd. to finance the payment of £ 2.9 million – although this was only announced in August 2023, which meant that Morfuni and the club were commissioned by the EFL and the fine of 10,000 pounds.

In order to finance this bond, Kiel was transferred 17.1 percent and five percent broadcast in Parladorio.

Holly Kiely’s husband, Chris Kiel, has been a consultant in the football club for some time and helped with data analyzes and Bethany Parladorios husband Eddie Parladorio, was a lawyer who was strongly involved in the legal dispute over the ownership of the association, and the Morfuni took over and a frequent participant in the preparation meeting.

The rights of tracking mean that all shareholders of the company are given the opportunity to buy shares that are transmitted before an external party has the opportunity to buy them.

Section 561 of the Companies Act 2006 protects the rather existing shareholders to subscribe to new shares.

However, this law enables an exception to the prerequisite right and states that the pre-ass law does not apply to allocations that were created as part of a compromise or an agreement for companies in financial difficulties.
